信用证（Letter of Credit ,L/C)是指由银行（开证行）依照（申请人）的要求和指示或自己主动，在符合信用证条款的条件下，凭规定单据向第三者（受益人）或其指定方进行付款的书面文件。即信用证是一种银行开立的有条件的承诺付款的书面文件。
在国际贸易活动，买卖双方可能互不信任，买方担心预付款后，卖方不按合同要求发货；卖方也担心在发货或提交货运单据后买方不付款。因此需要两家银行做为买卖双方的保证人，代为收款交单，以银行信用代替商业信用。银行在这一活动中所使用的工具就是信用证。

3.Signed attested invoice combined with certificate of origin and value in 6

七、Bill of Loading 信用证对提单的要求

全套装船（公司的）洁净已装船提单应注明“运费付讫”，作为以装船人指示为抬头、背书给……银行，通知买方

marked "Freight Prepaid" notify: importer（openers,accountee）

全套洁净“已装船”提单/货运收据作成以我（行）为抬头/空白抬头，空白背书，通知买方……公司，要求货物字中国运往汉堡，注明“运费付讫”/“运费在目的港付”
5.bills of lading issued in the name of… 提单以……为抬头
6.bills of lading must be dated not before the date of this credit and not
later than Aug. 15, 1977
提单日期不得早于本证的日期，也不得迟于1977年8月15日

八、Insurance Policy （or Certificate） 信用证对保险单 （或凭证）的要求

full CIF invoice covering the risks of War & W.A. as per the People's Insurance
Co. of China dated 1/1/1976. with extended cover up to Kuala Lumpur with claims
payable in （at） Kuala Lumpur in the currency of draft （irrespective of
percentage）
作为可议付格式的海运保险单或凭证按照到岸价的发票金额110%投保中国人民保险公司1976年1月1日的战争险和基本险，负责到吉隆坡为止。按照汇票所使用的货币在吉隆坡赔付（无免赔率）
（3）insurance policy or certificate settling agent's name is to be indicated,
any additional premium to cover uplift between 10 and 17% may be drawn in excess
of the credit ualue

十三、The Stipulation for Shipping Terms 信用证对装运条款的要求
十四、Date & Address of Expiry 有效日期与地点
在装运之前____天，买方应通过一流银行开立一份不可撤销的、以卖方为受益人的、金额为合同总价％的有效期至少为个月的即期信用证。%凭最终用户签字的设备验收证书2周内电汇支付。
十五、The Guarantee of the Opening Bank 开证行付款保证

我行保证及时对所有根据本信用证开具、并与其条款相符的汇票兑付
2. we undertake that drafts drawn and presented in conformity with the terms of this credit will be duly honoured .
开具并交出的汇票，如与本证的条款相符，我行保证依时付款
3.
凡根据本证开具与本证条款相符的汇票，并能按时提示和交出本证规定的单据，我行保证对出票人、背书人和善意持有人承担付款责任（须在本证有效期内开具汇票并议付）
4. provided such drafts are drawn and presented in accordance with the terms of this credit, we hereby engage with the drawers, endorsors and bona-fide holders that the said drafts shall be duly honoured on presentation .
凡根据本证的条款开具并提示汇票，我们担保对其出票人、背书人和善意持有人在交单时承兑付款

十六、Special Conditions 特别条款
十七、In Reimbursement 索偿文句
The contents of the covering Letter of Credit shall be in strict conformity with the stipulations of the Sales Contract. In case of any variation there of necessitating amendment of the L/C, the Buyers shall bear the expenses for effecting the amendment. The Sellers shall not be held responsible for possible delay of shipment resulting from awaiting the amendment of the L/C and reserve the right to claim from the Buyers for the losses resulting therefrom.
买方于成交后通过______中国银行开出以卖方为抬头的不可撤销的信用证，卖方在货物装船启运后凭本合同交货条款 所列单据在开证银行议付货款。信用证有效期为装船后 天止。
After conclusion of business the Buyer shall open with the Bank of China, _______ ，an irrevocable letter of credit in favor of the Sellers payable at the issuing Bank against presentation of the shipping documents as stipulated under Clause of the Terms of Delivery of this Contract after departure of the carrying vessel . The said letter of credit shall remain in force till the day after shipment.
相关信用证中的条款必须与销售确认书一致。
The stipulations in the relative L/C must strictly conform to the stated conditions in our sales confirmation.
付款：凭保兑的、不可撤销的、可转让的、可分割的即期有电报套汇条款/见票/出票____天期付款信用证，信用证以_____为受益人并允许分批装运和转船。该信用证必须在______前开到卖方，信用证的有效期应为上述装船期后第15天，在中国______到期，否则卖方有权取消本售货合约，不另行通知，并保留因此而发生的一切损失的索赔权。
Terms of Payment：By confirmed, irrevocable, transferable and divisible letter of credit in favour of _____payable at sight with TT reimbursement clause/___days’/sight/date allowing partial shipment and transshipment. 买方须于**年**月**日将保兑的，不可撤消的，可转让可分割的即期信用证开到卖方。信用证议付有效期延至上列装运期后15天在中国到期，该信用证中必须注明允许分运及转让。
By confirmed,irrevocable,transferable and divisible L/C to be available by sight draft to reach the sellers before****and to remain valid for negotiation in China until 15 days after the aforesaid time of shipment.Tje L/C must specify that transhipment and partial shipments are allowd.
信用证内应明确规定卖方有权可多装或少装所注明的百分数，并按实际装运数量议付。（信用证之金额按本售货合约金额增加相应的百分数。）
The covering Letter of Credit shall stipulate the Sellers’s option of shipping the indicated percentage more or less than the quantity hereby contracted and be negotiated for the amount covering the value of quantity actually shipped. (The Buyers are requested to establish the L/C in amount with the indicated percentage over the total value of the order as per this Sales Contract.)
3. 信用证内容须严格符合本售货合约的规定，否则修改信用证的费用由买方负担，卖方并不负因修改信用证而延误装运的责任，并保留因此而发生的一切损失的索赔权。
The contents of the covering Letter of Credit shall be in strict conformity with the stipulations of the Sales Contract.
