This Contract for project of installing Main Engine is made on 6th May 2011 by and between Ningbo Port Construction Company Ltd. （hereinafter called Party A） and Germany Engine Company Ltd. （herein after called Party B）.

于2011年5月6日，由宁波港口建设有限公司（以下简称甲方）与德国某机电设备有限公司公司（以下简称乙方）签订此合同。
1.Name of project： Installation of Main Engine
工程名称: 主机安装
2.Location of project：Ningbo Port
工程地点：宁波港
3.Scope of project：As specified in the drawings and statement attached.
工程范围：参见合同所附施工图及结算表。
4.Time limit for completion：完工期限/工期
The project shall coordinate with the civil engineering building of the port in Party A and shall be completed，including the trial run for 20 days, within 250 days after the completion of the civil construction.
工程安装应当配合甲方在港口的土建工程，在土建工程完成后250天之内完工，其中包括20天的试运行。
5.Total price of project：
工程总价：1 千万 美元整_10,000,000 U.S. D only.
6.Payment terms of project：工程付款条件：
First installment：一期工程：
Party A shall pay to Party B fifteen percent of the total price for installation work， i.e.1,500,000 U.S.D only， when this contract comes into effect.
自合同生效起，甲方应当支付乙方工程总价的15%，即150万美元整。
Second installment：二期工程
Party A shall pay to Party B fifteen percent of the total price for installation work， i.e. .1,500,000 U. S. D. only， at the commencement of construction installation.
本工程进行中，甲方应当支付乙方工程总价的15%，即150万美元整。
Third installment：三期工程
Party A shall pay to Party B ten percent of the total price for project， i.e. .1,500,000 U. S. D. only，during the installation of pipes.
在管道安装期间，甲方应当支付乙方工程总价的15%，即150万美元整。
Fourth installment：四期工程
Party A shall pay to Party B forty percent of the total price for project， i.e. 4,000,000U. S. D. only，at the time when the main equipment arrives at the site.
主要设备到达施工地时，甲方应当支付乙方工程总价的40%，即400万美元整。
Fifth installment：五期工程
Party A shall pay to Party B ten percent of the total price for project，i.e. 1,000,000 U. S. D. only， upon completion of the project.
工程完工后，甲方应当支付乙方工程总价的10%，即100万美元整。
Sixth installment：六期工程
Party A shall pay to Party B ten percent of the difference of the price for project， i.e. 1,000,000 U. S. D. only，after the work received has been proved qualified.
工程验收合格后，甲方应支付乙方工程尾款的10%，即100万美元整。
7.Penalty for default：违约：
In the event Party B fail to complete the work in time owing to reasons that Party B shall be held liable， Party B shall pay a penalty for such default based on one out of a thousand of the total price for project per day, i.e.10,000 U.S.D， only for each day of such default.
工程期间，因乙方原因未能按期完工，乙方应当承担责任，并每一天按合同总额的千分之一支付甲方违约金，即壹万美元整。
8.Increase or decrease of work：工程量的增减
All extra or additional work done or work omitted by Party A shall be valued at the rates and prices set out in the Contract．If the Contract does not contain any rates or prices applicable to the extra or additional work，then suitable rates or prices shall be agreed upon between the Parties hereto．
凡由甲方要求增减的工程，均应按合同价格予以估价。如合同所列的价格不适用所增减的工程，应由双方协商出合适的价格。

The Party B shall, on the instructions of the Party A, suspend the progress of the Works or any part, during such susn, properly protect and secure the Works or such part thereof. Any extension of time and price in relation to the stoppage work shall be born by the Party A.
乙方应根据甲方的指示、时间和方式暂停工程或其任何部分的进展，在暂时停工期间乙方应对工程对其一部分进行必要的保护和安全保障。任何由此类暂时停工引起的时间和合同价格中增加由承包商承担。

14、Maintenance of Main Engine主机维护
Party B shall provide free periodic maintenance service for the Main Engine for one year after the receiving of the work by Party A and send maintenance personnel every one month for performing maintenance.
工程验收合格后，乙方应当在一年内对主机提供免费定期维护并每一个月派专业人员进行维护。
15.Attachments ：附件
Attachments shall become an integral part of this contract and shall be as effective as any other provisions. Attachments include：the drawings and the estimate of cost.
附件为此合同组成部分且与本合同其他规定具有同等法律效力。附件包括：施工图 估价单
16.Format of this contract：合同份数
The contract shall be in duplicate with two texts to be held separately by the Parties hereof. Each of the Parties shall also keep two copies of the contract for record.
本合同一式两份，双方各执一份。各保存两份合同副本，存档备查。
17. This contract has been executed by the Parties as of the day and year first above written.
本合同自/于甲乙双方签字之日起生效。
