In accordance with the Contract Law and other relevant laws, regulations, the buyer and seller have hereby, on the basis of equality, voluntary and consensus, enter into the following agreement on the sale of house.
第一条 房屋的基本情况Conditions of the house
The house being purchased by the buyer (hereinafter referred to as the house) is the house of the room No.3 on 15 floor in the building No. 1, as the ichnography thereof in Appendix 1 and the number of house subject to the same.
该房屋阳台是非封闭式。The balcony of the house is non-closed.
该房屋建筑面积共112.6 平方米，其中，公共部位与公用房屋分摊建筑面积11.5 平方米。
The total construction area of the house is 112.6 square meters, include the construction area 115 square meters of public areas and common houses.
第二条计价方式与价款 The Means of calculation and the Price
The price of the house shall be calculated under the first means as following by the agreement between the parties hereto.
按建筑面积计算，该房屋单价为(人民币)每平方米7566元，总金额( 人民币) 847,390 元（大写： 捌拾肆万柒千叁百玖拾元整）。
The unit price of the house is, with the calculation of construction area, RMB￥ 7566 (Say Seven Thousand Five Hundred and Sixty Six only)per square meter, and total amount￥847,390 （Say Eight Hundred and Forty Seven Thousand Three Hundred and Ninety only）．
第三条 付款方式及期限 The Payment and Term Limit
The buyer shall effect the payment by the first means as following.
Payment by lump sum. The buyer shall, within two (2)days of the signature of this contract, effect the payment of ￥847,390.00 ( Say RMB Eight Hundred and Forty-Seven Thousand, Three Hundred and Ninety only) by lump sum of purchasing house
2.分期付款 。买受方签订购房合同后与 年 月 日前向出卖方预交房价费的 20 ％，￥大写 元整。剩余房价款待买受方房屋钥匙到时补齐。
Installments. The 20 % of payment of purchasing house ￥ should, prior to the date of upon the signature of this contract, be paid in advance by the buyer and the remain of payment should be paid until delivery of the house’s key.
3.其他方式 The other means of payment.
The buyer’s responsibility of delay for payment.
Where and if, the buyer fail to effect the payment at the time stipulated herein, shall be dealt with by the means as following.
The treatment separately by the time overdue without accumulated sum.
Where and if, within 30 days of overdue time, the buyer should, commence on the second day stipulated to make payment hereby until the day on which full and all payment payable have been made physically, effect the fine of breach of daily 20 /10 000 ( Twenty Ten Thousand) to the Seller and continue to perform this contract.
The Seller is entitle, in the case of overdue time of payment exceed 30 days, to terminate this contract and the buyer should pay the fine of breach being equivalent to 20% of the cumulative sum payable to the seller. Where and if, the buyer is desirous of further performance of this contract which can be, through the consent of the seller, further performed. The buyer should, commence on the second day stipulated to make payment hereby until the day on which full and all payment payable have been made physically, effect the fine of breach of daily 20/10 000 ( Twenty Ten Thousand) to the Seller and continue to perform this contract.
第四条 交付期限 The time limit of delivery
The seller should, prior December 10, 2009 in accordance with the relevant provisions of State and local People’s government, provide the house conforming to the 4th condition following and stipulations herein to the buyer for use.
1.该房屋经验收合格。 Qualification through inspection and acceptance.
2.该房屋经综合验收合格。 Qualification through comprehensive acceptance.
Qualification through comprehensive acceptance by stages.
The approval documents for delivery and use of commercial residential house have been awarded.
The seller could, in case of special reasons, postponed the time of delivery depending on the circumstances except to take the termination or alteration of this contract. Where and if, force majeure incurred, the seller should, within 15 days upon the date of the occurrence, send the notice to the buyer for such matter.
The liability of delivery of the house overdue time by the seller.
Where and if, the seller fail to deliver the house to the buyer within the time as stated herein, except the particular circumstances as stated by Article VIII herein, shall treat according to the following manner.
By the time overdue separately without accumulated amount.
The seller should, in case the overdue period not exceed 20 days, pay the breach penalty at the rate of 20 /10 000 of the amount paid by the buyer per day from the last delivery date stipulated by Article 8 herein until the date of actual delivery and this contract continue performance.
Where and if, overdue more than 20 days, the buyer is entitle to terminate this contract. The seller should, upon termination of contract by the buyer, within 3 days from receipt of the termination notice of the buyer, refund all paid sum and pay breach penalty at the rate of 20% of cumulative payment. In case of requirement of further performance of contractual obligation by the buyer the contract continue to be performed, and the seller should pay the breach penalty at the rate of 20/10000 of the amount paid by the buyer per day from the last delivery date stipulated by Article 8 herein until the date of actual delivery.
第五条 交接 Delivery and taking over
The seller should, upon the conformance of the conditions of house delivery, inform the buyer in writing to effect the procedures of delivery and taking over. The seller should, for the inspection and delivery / taking over between the parties hereof, bring forth the certificate documents specified in Article 8 herein and sign the list of house delivery / taking over. In case of residential housing the “QULITY ASSURANCE OF HOUSING” and “RESIDENTIAL MANUAL should be produced by the seller, if, without or insufficiency of the same, the buyer is entitle to refuse to taking over and the responsibilities of delay to delivery due to such reason shall be born by the seller.
第六条 无产权纠纷 Without the disputes of property
The seller guarantee the sold house without any dispute of title or property as well as claim and debt. The seller should, if, the failure of conducting the registration of property or the occurrence of claim and debt due to the reason of seller, take full responsibility therefore.
第七条 产权登记 The Registration of Property Rights
The seller should, within 20 days from the date of delivery of the house, present the property registration authority with documents required to submit by the seller for conducting property registration. Where and if, the buyer couldn’t acquire the certificate of real ownership within the prescribed time limited, the parties hereto agree to deal with the same by following item hereof.
The seller should, upon the cancellation of the house purchase herewith, within 5 days commencing the day on which the buyer require to cancel such deal, refund the amount paid by the buyer to the same and indemnify the buyer against loss at the rate of 20% of the amount paid.
In the respect of remaining the deal, the seller should, at the rate of 20% of the amount paid, pay the breach fine to the buyer.
第八条 使用房屋的责任 The responsibilities of using of the house
The house hereof shall be only used as dwelling house. The buyer cannot, during the use of the house, change without authorization the main structure, load-bearing structure and purpose. Except as otherwise provided in the contract and its annexes, the buyer is entitle to enjoy, during the use of the house, with other rights holders, the public sites and facilities relating to the house and bear the obligation herewith pro rata the land area thereon and the proportion areas of the public sites and facilities.
The seller can not change without authorization the use nature the public sites and facilities being association with the house.
第九条 争议解决方式 The settlement of disputes
The any disputes occurred in the performance of the contract shall be settled through consultation by the parties hereto, in case no settlement can be reached through negotiation, shall be settled by the means of as following:
1.提交仲裁委员会仲裁。To submit the arbitration committee for arbitration.
2.依法向人民法院起诉。Bring an litigation to the People’s court by law.
第十条 未尽适宜 Other matters
The matters not covered herein shall be agreed by the supplemental agreement following the signature of this contract.
第十一条 附件效力 The effective force of annex
The annex hereto shall have the equal legal effect with this contract. The words of hand-write and printing in the blank of this contract and annex shall be equally authentic.
第十二条 份数 Copies
The contract is in duplicate, with total pages，include ennex, of each copy and with the same legal effect, one for the seller and one for the buyer separately.
第十三条 合同的登记备案 The registration of the contract
The contract shall be come into effective upon the date of signature by the parties hereto. The seller shall, within 30 days from the effective date of the contract, applied for the registration to the administrative authority.
