The purpose of the seminar is to discuss issues which arise in most contracts, regardless of subject matter or governing law.

Part 1: Why do you need a contract? 为什么需要一份合同?
1.No matter how much you may trust your business partner a contract is still vital to protect all parties involved in a transaction.

2.Misconceptions regarding the contract process: expensive, time consuming, lawyers’interference etc.

Part 2: Key Terms 关键术语
1.Governing law 准据法
a.Issues to consider: parties involved, where the contract will be performed and where it will be enforced, overriding local laws;
涉及的问题:合同相关各方、合同执行及生效地点、优先于当地法律等。
 
2.Dispute resolution 纠纷解决
a.Need to consider: where do you want to enforce, how do you want to enforce, where are the parties’ assets, time and costs involved in different resolution methods, are special terms required to use a certain dispute resolution method;
涉及的问题:期望的合同执行方式及地点、不同的解决方式对资产、时间及成本的影响、在特定解决方式下是否需要用到特殊术语等。
 
3.Interpretation clause 解释条款
a.Often overlooked but if not drafted correctly can cause significant problems;
常被忽视,但如果不能正确制定可能会导致严重的后果。
 
4.Payment Terms and Interest Rates 支付条款及利率
a.Issues to consider: time and format of payment, local regulations on maximum interest rates;
涉及的问题: 付款时间及方式、当地关于最高利率的规定。
 
5.Order and Delivery 订单及交货
a.Issues to consider: purchase orders and protection against “battle of the forms”,  passing of title vs. passing of risk, customs procedures and fees,;

6.Confidentiality 机密性
 
a.Like the interpretation and force majeure clause this clause is often overlooked, but care should be taken to see that it is not wider than necessary. You should also consider whether an NDA before full negotiations is undertaken would be more appropriate;

7.Grounds for Termination 协议终止
a.Good to have but there must be a balance between being sufficiently clear, and not being so defined as to be restrictive;
